Terms of Service

These terms and conditions govern your use of uxlux Design Studio's website and services.

1. Acceptance of Terms

By accessing and using the uxlux Design Studio website located at www.uxlux.cc (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service apply to all visitors, users, and others who access or use the service. Our service is designed for businesses and individuals seeking professional design services, and your continued use of our platform constitutes acceptance of any modifications to these terms.

2. Description of Service

uxlux Design Studio provides comprehensive design services including but not limited to: brand identity design, web design and development, user experience design, print design, and digital marketing materials. Our services are delivered through both remote collaboration and in-person consultations from our Bonifacio Global City studio.

3. User Responsibilities

Users of our service agree to provide accurate, current, and complete information during the registration process and throughout their use of our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree not to use our service for any unlawful purpose or in any way that could damage, disable, overburden, or impair our servers or networks. This includes but is not limited to: transmitting harmful code, attempting unauthorized access, or interfering with other users' enjoyment of the service.

4. Intellectual Property Rights

Upon full payment of design services, clients receive ownership rights to final delivered design assets as specified in individual project contracts. However, uxlux Design Studio retains the right to use completed work for portfolio presentation and marketing purposes, unless specifically prohibited in writing.

5. Payment Terms

Payment terms are specified in individual project proposals and contracts. Generally, a 50% deposit is required before commencement of work, with the balance due upon project completion and client approval. All payments are processed in Philippine Peso (PHP) and are non-refundable once work has commenced.

Late payments may result in project suspension and additional fees as outlined in our standard payment schedule. Clients are responsible for any applicable taxes, duties, or fees associated with our services. Special pricing or discounts may be offered at our discretion and do not constitute ongoing obligations.

6. Project Timeline and Delivery

Project timelines are estimates based on the scope agreed upon at project initiation. Actual delivery times may vary depending on client responsiveness, revision requests, and unforeseen technical requirements. We commit to providing regular progress updates and notifying clients of any significant timeline adjustments.

Client delays in providing feedback, content, or approvals may extend the project timeline. Rush projects may be accommodated subject to additional fees and resource availability. Final deliverables are provided in agreed-upon formats and may include source files, print-ready files, or web-ready assets depending on project requirements.

7. Revision and Feedback Policy

Our standard revision policy includes up to three rounds of revisions within the agreed project scope. Additional revisions may be accommodated at our discretion or may require additional fees depending on the scope of changes requested. All revision requests should be submitted in writing through our designated communication channels.

8. Confidentiality and Data Protection

Our data protection practices comply with applicable Philippine data privacy laws and international standards. For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy. Clients retain ownership of all pre-existing intellectual property and confidential information shared during projects.

9. Limitation of Liability

In no event shall uxlux Design Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

Our total liability to you for all damages arising out of or relating to these terms or the service shall not exceed the amount you paid us for the services during the six (6) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages.

10. Termination

In the event of project termination by either party, clients are responsible for payment of work completed up to the termination date. Completed work and materials provided up to termination remain subject to our intellectual property rights unless specifically transferred in writing.

11. Dispute Resolution

Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the Philippine Dispute Resolution Center, Inc. (PDRCI) rules. The arbitration shall take place in Taguig City, Philippines, and shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive relief in courts located in Taguig City for intellectual property disputes or breaches of confidentiality. This dispute resolution provision survives termination of these terms and your relationship with uxlux Design Studio.

12. Changes to Terms

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service. It is your responsibility to review these Terms periodically for changes.
